1. Scope
This Subscription Agreement governs all paid Sovvento plans and is read together with our Terms of Service, Privacy notice and Data Processing Agreement. If there is any conflict, this Subscription Agreement prevails for commercial matters.
2. Plans & included entitlements
- Discovery (€79/month) — single operator, ranked match feed, call briefs, shareable shortlists, and deadline email. Drafting is not included.
- Workspace (€399/month)— up to 5 named seats, BYO-key drafts with a soft cap of 50 drafts/month and hard cap of 200, portal-mapped packs, filing proof after you submit in the official portal, metered overage when enabled (see §4).
- Agency (€1,900/month) — up to 10 named seats, soft cap of 200 drafts/month with hard cap of 500, multi-client workspaces, white-label branding, and a credential vault for assisted login (not automatic filing).
- Agency Plus (custom) — quoted seat count and draft cap in the order form. SSO, custom source ingestion, and SLAs are not self-serve products; they exist only if the signed order form includes them.
Plan limits are enforced server-side. Current limits are published on the pricing page. We may rebalance soft caps with at least 30 days’ notice; hard caps will not be lowered during a current subscription term.
3. Billing & term
Plans are billed monthly in advance through Stripe. The subscription renews automatically at the end of each billing period unless cancelled from the Customer Portal at least 24 hours before renewal. Prices are exclusive of VAT, which is added at the rate applicable to your place of establishment under the EU VAT one-stop-shop rules.
4. Draft overage
Workspace and Agency plans include a soft monthly draft cap (50 and 200 respectively). When draft overage billing is enabled, drafts created above the soft cap and up to the hard cap are billed as a metered overage at the per-draft rate published on the pricing page (Workspace €15/draft; Agency €10/draft), through a Stripe invoice item created on your customer record. Until that meter is enabled, drafts between the soft and hard cap are included. Drafts requested after the hard cap is reached are rejected with a 402 response until the next billing period starts. Overage charges, once recorded as an invoice item, are non-refundable.
5. Success-fee kicker
For Workspace and Agency plans, where Sovvento drafted the submission and the funder issues a positive award decision, a success kicker of 1.5% of the awarded amount will be invoiced when attribution billing is live, capped at €25,000 per award. The kicker will be invoiced only when (a) the award is recorded as “won” in the dashboard with a verifiable funder reference, and (b) the draft of record was generated through the Sovvento platform. Until then, awards appear in shadow attribution and no kicker invoices are issued. Discovery and Agency Plus plans negotiate kicker terms separately. Once invoiced, the kicker is payable within 30 days; disputes must be raised within the same 30-day window via billing@sovvento.eu.
6. Dunning & grace period
If a renewal payment fails, Stripe will retry over the following 7-21 days. During that window your subscription enters a “past due” state: existing matches, drafts and submission packs remain readable, but creating new drafts, submissions or redrafts is paused. If payment cannot be recovered, the subscription is cancelled and access is restricted to read-only of prior work.
7. Refunds & cancellation
You may cancel at any time from the dashboard via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for the unused portion of a billing period. EU consumers benefit from any non-waivable statutory right of withdrawal under Directive 2011/83/EU; B2B subscribers (the default) waive that right by activating a paid plan and immediately consuming the service.
8. Service levels
We target 99.5% monthly availability of the dashboard and matching APIs, excluding scheduled maintenance windows (announced at least 48 hours in advance) and force majeure. There is no service-credit regime on standard plans; Agency Plus customers may negotiate an SLA in their order form.
9. Price changes
We may change subscription prices and per-draft overage rates with at least 30 days’ notice. Changes take effect at your next renewal after the notice period; you may cancel before the renewal to avoid the new price.
10. Order of precedence
If an Agency Plus order form, statement of work or master agreement is in force between you and Sovvento, the order of precedence is: (i) that bespoke agreement; (ii) this Subscription Agreement; (iii) the Terms of Service; (iv) the DPA; (v) the Privacy notice.
